LTViena opiausių problemų naujų Europos Sąjungos šalių narių grupėje yra įmonių veiklos efektyvumo, jų gaminamos produkcijos bei teikiamų paslaugų konkurencingumo problema. Tyrimo tikslas – atskleisti privatizacijos veiksnio įtaką korporatyviniam valdymui, nuosavybės struktūros pokyčiams ir jos valdymo efektyvumui. Privatizacijos mastai plačiąja prasme buvo sąlygoti, viena vertus, objektyvios būtinybės suformuoti privatų sektorių ir įdiegti rinkos santykius, antra vertus, ideologinių veiksnių, trečia vertus, silpnos valstybės, kuri buvo palanki valstybinio turto grobstymui, nebaudžiamumo ir iškreiptų socialinių vertybių formavimosi praktikai. „Silpnos valstybės“ ir „žaidimo taisyklių nebuvimo“ veiksniai sąlygojo Rytų ir Vidurio šalyse privatizacijos politiką ir rezultatus, pirminę nuosavybės struktūrą, korporatyvinio valdymo praktiką. Korporatyvinio valdymo problemų ašimi Rytų ir Vidurio Europos šalyse tampa jau nebe principalo ir agento problema, o atskirų principalų koalicijų problema, nes didelė dalis akcinio kapitalo privatizavimo būdu perėjo į privatizuojamų įmonių darbuotojų ir vadovybės rankas. Atlikus tyrimus nustatyta, jog daugumoje akcinių bendrovių akcinis kapitalas išsklaidytas, o kapitalo koncentracijos procesai vyksta nepakankamai sparčiai, todėl nuosavybės valdymo efektyvumo problemų pirmiausia kyla dėl principalo pozicijų silpnumo. Jie nėra pajėgūs efektyviai kontroliuoti agentų veiksmų. ENIn the article the conception of privatisation and corporative control in the East and Middle Europe countries (EME), the methodology of the research, and the evaluation of effectiveness are analysed. The distinctive features of privatisation and corporative control in EME countries as a distinctive type of privatisation are given. It is indicated that all known theories analysing privatisation processes in these countries do not take into account the uniqueness of post-communist transformation processes and the place of privatisation in the system of processes. The influence of the privatisation factor on property structure and corporative control changes in 1991-2004 years are considered in detail; peculiarities of the privatisation policy in Lithuania are analysed. It is said, that the analysis results show, that privatisation as a constituent of the post-communist transformation not only determined property structure changes at micro and macro levels, but also mostly defined prospects of the country's economic and social development. Privatisation in the post-communist transition countries as a peculiar privatisation type is related with post-communist transition processes, which started in the CEE countries and the countries of the former Soviet Union. There privatisation became the basic clement of institutional reorganisation. […].The privatisation process in the post-communist transition countries should not be identified with this process in the countries with a stable market economy or with the privatisation process in the countries where changes in economic systems are evolutionary. […] Economy restructuring and privatisation have determined GNP structure and volume changes, employment structure, state costs volume and structure etc. In 1991-2003 the state property was massively privatised. Since a mass character is a feature of privatisation in EME countries, the influence of the privatisation factor is important in all stages of the market reform development. […] To clarify how effectively stockholders can participate in corporative control, how they can influence enterprise activity the volume of the stake controlled by largest stockholder was analyzed. As the share units were dispersed biggest shareholders most often have no controlling stake. It causes difficulties in enterprise property management and makes the control of the enterprise managers complicated for other shareholders. The distinctions of corporative management have also been highlighted. The corporate management system in the countries with transient economies is also immature. The only possibility for the stockholders to control the property effectively is concentration of the stock capital. [text from author]
