Korporatyvinio valdymo reguliavimo poveikio kapitalo rinkoms vertinimas Europos Sąjungoje
LTKorporatyvinio valdymo reguliavimo politiką Europos Sąjungoje lemia tai, kad investuotojų interesų apsauga yra viena esminių prielaidų, siekiant sukurti veiksmingą bendrą kapitalo rinką Europos Sąjungoje. Europos Sąjunga jungia istoriškai susiformavusių skirtingų korporatyvinio valdymo sistemų šalis, ir šie skirtumai apsunkina bendro korporatyvinio valdymo reguliavimo Europos Sąjungoje kūrimą. Disertacijoje keliamos ir nagrinėjamos problemos ištakos glūdi siekyje nustatyti bendrą korporatyvinio valdymo reguliavimą Europos Sąjungoje visoms valstybėms narėms, kai tų valstybių narių teisės tradicijos ir kapitalo rinkos yra labai skirtingos. Būtent šios aplinkybės sudaro prielaidas ieškoti atsakymo į klausimą, kaip bendras korporatyvinio valdymo reguliavimas Europos Sąjungos lygiu veikia valstybių narių kapitalo rinkas. Disertacijoje atskleidus korporatyvinio valdymo instituto esmę, išanalizavus korporatyvinio valdymo reguliavimo Europos Sąjungos lygiu ypatumus ir korporatyvinio valdymo bei kapitalo rinkų sąveiką, įvertintas korporatyvinio valdymo reguliavimo Europos Sąjungos lygiu poveikis valstybių narių korporatyviniam valdymui ir kapitalo rinkoms, atsižvelgiant į valstybių narių teisės tradiciją, kapitalo rinkos dydį bei ekonominio ciklo laikotarpius. Atliktas tyrimas pasižymi tarpdiscipliniškumu, jame išryškintos ekonomikos ir teisės mokslų sąsajos, sudarytas korporatyvinio valdymo reguliavimo ir kapitalo rinkos sąveikos modelis, pateikta metodika, kurioje taikomi kiekybiniai tyrimo metodai papildyti kokybiniais, tarp jų ir tokiais, kaip atvejo analizė, leksimetrika, ekspertų apklausa, kurie dar nėra plačiai taikomi atliekant ekonomikos krypties tyrimus.
ENCorporate governance regulatory policy in the European Union is determined by the understanding that the protection of the interests of investors is one of the key preconditions for the creation of an effective capital market in the European Union. The European Union unites countries with different historically developed systems of corporate governance and these differences impede the creation of a common regulation of corporate governance in the European Union. The problem of this dissertation arises from the aim to create the common regulation of corporate governance in all Member States when their legal traditions and capital markets differ significantly. Namely these circumstances create preconditions for a seeking an answer to the question of how of the common regulation of corporate governance at the European Union level affects the Member States’ capital markets. After revealing the essence of the institute of corporate governance and analysing the peculiarities of corporate governance regulation at the European Union level as well as the interaction between corporate governance and capital markets, the impact of the corporate governance regulation at the European Union level on the corporate governance and the capital markets in the Member States was evaluated taking into consideration Member States’ legal traditions, the size of the capital markets and the periods of the economic cycle. The dissertation research is interdisciplinary and highlights the relation between economics and law; a model of interaction between corporate governance regulation and capital market is developed and a complex methodology is presented where quantitative research methods were supplemented by qualitative methods including case study, experts’ interview and leximetrics which are not yet widely applied in the economics.
