LTStraipsnyje apžvelgiama ekonominės bendrovių teisės analizės doktrinoje dominuojančios, tačiau Lietuvos bendrovių teisėje išsamiai neanalizuotos sutartinės bendrovės teorijos susiformavimas ir šios teorijos pateikiamas sutartinės bendrovės prigimties aiškinimas. Atskirai aptariami kai kurių esminių ekonomikos ir teisės mokslų atstovų darbai, nurodoma jų įtaka teorijai; taip pat analizuojami šios teorijos ribotumai. Straipsnyje įvertinama kai kurių šios teorijos aspektų praktinė reikšmė Lietuvos bendrovių teisės teisėkūrai ir teisminiam aiškinimui. [Iš leidinio]

ENThe economic analysis of law is currently a dominant paradigm in the corporate law scholarship. Moreover the contractual theory of the corporation is a prevailing theory within the economic analysis of corporate law. Nevertheless, this theory has not been extensively analyzed in the Lithuanian corporate law scholarship. Thus the article reviews the origins of this theory and its explanation of the nature of the corporation. The article does not specifically analyze the economic agency theory and shareholder primacy norm, which could also typically be a part of contractual theory of the company. Contractual theory of the corporation developed gradually, based on previous scholarship as well as trying to explain certain unsolved issues of previous scholarship. Thus the article gives a broader context of the development of this theory and reviews certain development periods of economic analysis of corporate law scholarship, focusing on the concept of the corporation. Contractual theory of the corporation can be analysed in the field of economics and the field of law. Thus the article (for the purpose of methodological clarity) separately reviews the works of several economists (R. Coase, M. Jensen, W. Meckling) as well as law scholars (a special emphasis is put on the works of F. Easterbrook and D. Fischel) and their influence to the contractual theory of the corporation. As probably every theory the contractual theory of the corporation has its own limitations and cannot explain all aspects of company law. Thus the article discusses several issues of the company law, which still lack a clear explanation (e.g. separate legal personality, balance between mandatory and enabling norms). Despite its shortcoming the theory still provides certain important insights for the legislator and the courts.Thus the article also discusses certain relevant issues of Lithuanian company law in the context of contractual theory of the corporation.
