Korporacinis valdymas ir jo vystymosi tendencijos Lietuvoje : disertacija

LTPagrindinę šiame darbe nagrinėjamą vadybos mokslo problemą galima suformuluoti taip: kokios sąlygos nulemia korporacinio valdymo būklę šalies ūkiui persiorientuojant į rinkos ekonomiką ir kokiomis organizacinėmis ar teisinėmis priemonėmis jas galima paveikti norima linkme? Darbe nagrinėjama mokslinė problema plačiau tyrinėta tik išsivysčiusių rinkos ekonomikų kontekste. Tyrimo objektas – korporacinio valdymo formavimasis ir jo ypatumai perėjimo į rinkos ekonomiką sąlygomis. Analizuojant ir sisteminant korporaciniam valdymui įtaką darančias sąlygas rinkos ekonomiką kuriančioje šalyje bei numatant korporacinio valdymo Lietuvoje tobulinimo galimybes, keliami šie tikslai: - sukurti korporacinio valdymo būklės tyrimo koncepciją; - nustatyti korporacinio valdymo būklei įtaką darančius veiksnius, apibrėžti jų poveikį ir mastą; - nustatyti korporacinio valdymo būklės Lietuvoje gerinimo priemones. Atlikti tyrimai leido nustatyti korporacinio valdymo pagrindus ir apibrėžti stambių investuotojų bei teisinės jų apsaugos skirtumus, darančius įtaką įmonių išorinio finansavimo efektyvumui. Reikšmingas mokslinio darbo teorinis rezultatas yra korporacinio valdymo būklės rinkos ekonomiką kuriančioje šalyje ištyrimas. Sisteminio požiūrio taikymas leido nustatyti svarbiausias ekonominės sistemos savybes, kurios turi didžiausią įtaką korporaciniam valdymui joje. Disertacijoje įvertintos Lietuvos korporacinio valdymo plėtros perspektyvos ir teoriškai pagrįstos prioritetinės kryptys.

ENThe main problem of management sciences that is analysed in this work can be defined as the following: what conditions determine the condition of corporate management when national economy is being reoriented into the market economy and with what organizational and legal measures they can be shifted towards the desirable direction. The object of the research is the formation of corporate management and its peculiarities under conditions of transition to the market economy. While analysing and systematizing conditions influencing corporate management in a country that creates market economy and predicting opportunities for improving corporate management in Lithuania, the following tasks were raised: - to create the conception for the research of the condition of corporate management; - to identify the factors influencing the condition of corporate management, to define their effect and extent; - to identify the measures for improving the condition of corporate management in Lithuania. The performed researches allowed identifying the foundations of corporate management and defining the differences among big investors and their legal protection that influence the effectiveness of external funding of the company. A significant theoretical result of the study is a survey regarding the condition of corporate management in the country creating market economy. Application of the systemic approach allowed identifying the main features of economical system that have the largest influence on corporate management in it. In the dissertation the perspectives of corporate management development in Lithuania are evaluated, and the priority directions are theoretically justified.
